In a short personal résumé in connection with this research project, I

wish to express my greatest thankfulness to Professor Henning for his

patient guidance in the best academic tra di tion, de man ding and at

the same time rewarding, but at all times with a stimulating humour

that kept me laughing long after. He is ‘liable’ for arousing my inter-

est in com pany law and without his invaluable help, enthusiasm and

un limited scholarship this comparison would not have been written.

Unforgettable will also be the meetings and fruitful discussions in

London at the Institute of Advanced Legal Studies and in the inspir-

ing atmosphere at Jesus College, University of Cambridge.

My stay at the Faculty of Law at the University of the Free State will

be a lifelong enrich ment for me and I am more than grateful for the

warm wel come and support I re ceived from all the colleagues there.

Baie, baie dankie!

In addition I can only recommend the Centre for Business Law at the

Law Faculty as inexhaustible source for research in this f‌ield and say

thank you to the friendly and most help ful staff there and at the very

eff‌i cient UFS-SASOL library. The same appraisal can be given to the

personnel at the Institute of Advanced Legal Studies, London.

The admirable tolerance and con stant encouragement of my wife

Kirsten are both valued deeply by me. Only she knows how many hours

after work, on weekends or during holidays have been spent writing

these pages.

I dedicate this thesis to her and to my parents, without their loving sup-

port this study would not have been possible. And, of course, little

Kilian and Annika can now stop wondering why daddy is spending

so much time “playing with the computer”.
