Die appellant het geld op verband van die respondent geleen, maar nie sy paaiemente ooreenkomstig die terme van die verband betaal A nie. Die respondent het in 'n Provinsiale Afdeling aksie ingestel teen die appellant en die volle verbandskuld van hom gevorder. Die appellant het versuim om die aksie te verdedig en vonnis is by verstek teen hom toegestaan. Die appellant het later vir tersydestelling van die vonnis aansoek gedoen, maar dit is van die hand gewys aangesien die B Hof van oordeel was dat hy nie 'n regsgeldige verweer teen die respondent se eis openbaar het nie. Die appellant het teen hierdie beslissing appèl aangeteken.
Die appellant se verweer teen die respondent se eis was gebaseer op skuldvergelyking van 'n gesedeerde vordering. Hy het aangevoer dat 'n beslote korporasie, K, waarvan hy die enigste lid was, 'n vordering van R230 000 teen die respondent aan hom gesedeer het C waarna die verbandskuld deur die werking van skuldvergelyking uitgewis is. K se vordering het sy oorsprong gehad in vier koopkontrakte wat met die respondent aangegaan is. K het op 'n stadium agterstallig geraak en die respondent het kennis gegee dat dit die ooreenkomste op grond daarvan beeïndig. Die betoog is dat dit toe tot die appellant se kennis gekom het dat die koopkontrakte ongeldig was. Om hierdie rede, het die appellant aangevoer, het K 'n eis teen die D respondent gehad vir die terugbetaling van die deposito's wat dit uit hoofde van die kontrakte betaal het. Die som van die deposito's was meer as twee soveel die vonnis bedrag wat die respondent teen die appellant gevorder het. K het 'n gedeelte van die eis aan die appellant gesedeer en is kort daarna onder likwidasie geplaas.
Die respondent het die geldigheid van die beweerde sessie bevraagteken, sowel as die skuldvergelyking. Een van die respondent E se besware was dat die sessie, op die appellant se weergawe, geskied het ingevolge 'n ooreenkoms wat hy homself gesluit het. So 'n ooreenkoms was regtens onbestaanbaar. Die feit dat die appellant volgens sy weergawe by die sluiting van die ooreenkoms in twee hoedanighede, sy persoonlike hoedanigheid en sy hoedanigheid as verteenwoordiger van K, opgetree het, het nie 'n verskil aan die saak gemaak nie. Die Hof a quo het hierdie betoog aanvaar. F
Beslis, dat die Hof a quo om 'n verkeerde rede die aansoek vir die tersydestelling van die verstekvonnis van die hand gewys. Die stelling dat 'n kontrak wat 'n persoon as verteenwoordiger van 'n ander met homself sluit nie regtens bestaanbaar was nie, was nie 'n juiste siening van Suid-Afrikaanse reg nie. Beslis, verder, egter, dat die vraag gevra moes word of die sessie nie neergekom het op 'n splitsing van een vorderingreg tussen twee skuldeisers nie. Die appellant het beoog om, namens K, 'n gedeelte van een enkele vordering aan homself te sedeer terwyl K steeds die skuldeiser ten opsigte van die restant van dieselfde vordering sou bly. So gesien, kon die beoogde sessie nie die verbod op splitsing vryspring nie. (Paragrawe [6] en [8] op 175A - A/B, G - G/H en H/I - I.) H
Beslis, verder, dat dit nêrens gesuggereer is dat die respondent as skuldenaar tot hierdie splitsing toegestem het nie. Die respondent se posisie is ook deur die splitsing verswaar. Die respondent het K se vordering betwis en, as gevolg van die sessie, is die respondent in die posisie geplaas waarin dit hierdie stryd, I wat aanvanklik een vordering was, op twee fronte moes voer. Die sessie wat die hoeksteen van die appellant se verweer gevorm het was dus regtens ongeldig. (Paragraaf [8] op 175I - 176A/B.) Appèl van die hand gewys.
Die beslissing in die Transvaalse Provinsiale Afdeling in Van der Merwe v Nedcor Bank Bpk bevestig maar vir ander redes. J

The appellant had borrowed money from the respondent in terms of a mortgage bond but did not pay the instalments due in terms of the bond. The respondent instituted action in a Provincial Division against the appellant for the full amount of the bond. The appellant C failed to defend the action and default judgment was granted against him. The appellant later applied for the rescission of the default judgment but his application was dismissed as the Court was of the opinion that he had not shown a legally valid defence to the respondent's claim. He appealed against this decision.
The appellant's defence against the respondent's claim was based D on the set-off of a ceded claim. He averred that a close corporation, K, of which he was the only member, had ceded a claim to the value of R230 000 to him, as a result of which the bond debt was extinguished by the operation of set-off. K's claim originated in four agreements of sale concluded with the respondent. K had, at some stage, fallen into arrears and the respondent gave notice that it was cancelling the contracts on that ground. It was contended that it was then that it E came to the attention of the appellant that the agreements of sale were invalid.
