VERNUWENDE ASPEKTE VAN DIE AFRICAN PRINCIPLES ON THE LAW APPLICABLE
TOINTERNATIONAL COMMERCIAL CONTRACTS
Die voorgestelde Afri can Principles on the Law Appli cable to International Com mercial Contracts is
vernaam lik gebaseer op die Ro me I Regulation on the La w Applicable to Contra ctual Obligation s en die
Hague Princi ples on Choice of Law in Internat ional Commercial Contra cts. Hierdie bydrae bespreek
egter die oors pronklike en vernu wende aspekte van die African Principles (“die Afri ka-Beginse ls”).
Sowel gedeeltelike as veelv uldige regskeuse word in die Af rika-Beginsels , benewens op sekere dele
van die kontrak, ook van toepassing gemaak op verskillende aspe kte van ’n kontrak (bv bepalings
insake monetêre eenheid of indem niteit). Die keuse van regsreëls wat nie op staatlike soewereiniteit
gebaseer is nie, word sleg s toegelaat met betrek king tot sekere omsk rewe instrume nte op die regionale,
supranasiona le en internasionale vlak. D ie Afrika-Beginsels m aak ook uitdrukl ik voorsiening vir die
inkorpor asie van nie-staat like regsreëls deur mid del van voldoening aan die vere istes daarvoor va n die
reg wat op die kontrak van toepassing is. Die Afrika-Beginsels stel streng vereistes vir stilswyende
regskeuse, onder me er dat die keuse baie duidelik moet blyk uit d ie bepalings van die kontrak of die
besondere omst andighede van die geval. Daa r word bepaal dat die jurisd iksionele keuse van ’n hof of
gelokaliseerde arbitrasietribunaal nie genoegsaam is vir die aanname van ’n stilswyende regskeuse
nie maar da t dit wel ’n rol in die verband mag s peel. Die Afrika- Beginsels stel voor dat kon ikterende
regskeuseklous ules in standaar dbedinge mekaar uit sluit, in elk geval as uitd ruklike regskeus e.
Die Afrika-Beginsels bevat ’n aantal bepalings waaronder die substantiewe reg ’n selfstandige
rol mag speel binne internasionaal-privaatregtelike verhoudings, en wel met verwysing na sekere
interna sionale instru mente. Die Afri ka-Beginsels in korporeer ar tikel 5 van die Haags e Beginsels binne
’n wye alternatie we aanwysingsreël vir form ele geldigheid, wat geïnspireer is de ur ’n verskeidenheid
van modelle. Die Af rika-Beginsels m aak voorsiening vi r ’n meer presiese omskry wing van die lex loci
solutionis as wat gebruiklik is in die verband van voorrangreëls. Dit verskaf ook ’n voorstel vir die
oplossing van die proble em van die toepassing va n derdelandsreg benewens d ie lex loci solutionis. Die
Afrika-Beginsels inkorporeer in die internasionale kontraktereg twee beginsels insake bestraffende
skadevergoedi ng uit die reg insake die erke nning en afdwingi ng van buitelandse vonni sse.
Daar word aan die hand ge doen dat die formulerings i n die Afrika-Beginsels gebruik ka n word in
toekomstige pr ojekte vir die kodi kasie van intern asionaal-privaat regtelike reëls i nsake kontrakte , nie
slegs in Afri ka nie, maar ook daa rbuite.
