Die applikant doen aansoek om likwidasie van die responderende maatskappy op grond van art. 111 (f) van die D Maatskappyewet, wat bepaal dat die Hof 'n maatskappy mag likwideer as hy nie sy skulde kan betaal nie. Ingevolge art. 112 (a) word 'n maatskappy geag nie sy skulde te kan betaal nie as hy drie weke na skriftelike aanmaning, 'n opeisbare skuld van minstens £50 nie betaal of skik nie.

Die skuld wat applikant aanvoer, is £120 ten opsigte van salaris vir E Desember 1955 en die eerste helfte van Januarie 1956. Die aanmaning waarop applikant hom beroep, het aan respondent een dag tyd gelaat om die skuld te betaal, by gebreke waarvan gedreig word met 'legal proceedings without further notice or delay'. Die maatskappy het drie weke lank geen notisie van die aanmaning geneem nie, waarop 'n petisie om likwidasie aan hom bestel is. Ek wil 'n paar opmerkings maak oor die F vorm van die aanmaning. Die respyt van een dag wat toegelaat is, verwek sterk die indruk dat die skrywer van die brief graag wou verseker dat die skuld nie binne die deur hom gestelde tyd betaal sou word nie. Die dreigement met stappe 'without further notice or delay' is skynbaar bedoel om die maatskappy te laat glo dat dagvaarding sou volg na die G verloop van een dag, en om die maatskappy se aandag af te trek van die gevaar wat art. 112 (a) skep as hy drie weke sou versuim. Intussen was dit egter al die tyd die plan om te likwideer, want daar is noukeurig gesorg vir bewys dat die aanmaning by die hoofkantoor afgelewer is soos deur art. 112 (a) vereis. Instede van 'n dagvaarding, kry die maatskappy toe plotseling te doen met 'n likwidasie-petisie. Die Hof betrag taktiek H van hierdie aard met 'n onvriendelike oog.
